Status: Concept paper for subsequent legal, financial and technical verification
1. Summary
UCC should be integrated not as a "supreme law" over states, but as a specialized American commercial module within the international ECO-PPA supersystem. The supersystem should preserve the sovereignty of applicable national law, but provide a common language for transactions, assets, liabilities, collateral and outcomes.
UCC is a model commercial code, the norms of which are introduced by the legislation of individual US states. Therefore, it is legally incorrect to specify in the contract only "UCC": it is necessary to determine the law of a particular state, the relationship of the transaction with the chosen jurisdiction, the applicable articles, federal restrictions and the procedure for resolving disputes.
2. Purpose of integration
- create a unified contractual framework for energy, environmental and production projects;
- link the long-term order ECO-PPA with bank financing and security;
- ensure compatibility of Russian, international and American commercial contours;
- create a provable chain: right - obligation - asset - security - performance - result;
- automate the choice of the applicable legal module without substituting legislation with a digital platform.
3. Limits of applicability UCC

| Digital recording | The internal register can confirm events and documents, but does not replace the mandatory state registration. |
4. Supersystem architecture
4.1. Level of principles — EQUILIBRIUM
EQUILIBRIUM defines the target state and system limitations: balance of interests, integrity, evidence, environmental and social performance, responsibility of participants and inadmissibility of violation of stability of the whole system. This level is a design doctrine, not a self-executing law.
4.2. Operational Constitution - EUT
The EUT forms a single language for operations and data:
- identifiers of the participant, project, contract, asset and liabilities;
- the moment of occurrence, change, transfer and termination of the right;
- type and priority of provision;
- units of energy and environmental result measurement;
- events of execution, violation and default;
- references to primary documents and official registers;
- Verification rules and audit trail.
4.3. Legal Router
The legal router is the central mechanism of the supersystem. For each operation, it determines:
- Status, residency and jurisdiction of the parties.
- Location of equipment, goods, account and other assets.
- Legal qualification of the subject of the transaction.
- Applicable substantive and conflict-of-laws law.
- Imperative public law restrictions.
- Procedure for creation and registration of security.
- Competent court or agreed arbitration.
- Foreign exchange, tax, sanctions and compliance requirements.
5. Modular card UCC

For ECO-PPA Articles are of priority 2, 5, 7, 9 and 12: they link the supply of equipment, documentary calculations, commodity documents, financing and digital turnover of rights.
6. Key financial contour: Article 9
In the U.S. outline, Article 9 can be used to structure security interests in equipment, inventory, claim rights, proceeds of PPA, insurance payments and other proceeds - provided that the asset is properly qualified and the requirements of applicable law are met.
The EUT must record not only the registration record, but also the entire legal chain:
- Basic contract and economic obligation.
- Security agreement and description of the security item.
- The emergence of a security interest.
- Registration or control, depending on the type of asset.
- Check competing claims and priority.
- Monitoring the safety of the asset and income.
- The procedure for recovery upon default.
7. International Legal Bridge

CISG regulates the international sale of goods between commercial parties, but does not cover the entire range of services, project financing, collateral and public obligations of ECO-PPA. Therefore, the master agreement should separate the applicable modes for each block of relations.
8. Construction of the master agreement ECO-PPA
Part A. Universal EUT Core
- parties, roles and powers;
- item, delivery and guaranteed result;
- Energy, environmental, industrial and social indicators;
- measurement, reporting and verification methods;
- payment mechanism and adjustments;
- change management;
- events of violation and termination;
- Digital audit trail.
Part B. Jurisdictional applications
- RU-module - Russian law and mandatory requirements;
- CISG-module - international supply of goods;
- UCC-module of a particular state - sales, leasing, settlements, security and digital records;
- modules of other states - with the expansion of the geography of the project.
Part C. Project application
- object, territory, capacity and term;
- price, indexation and delivery schedule;
- equipment and localization requirements;
- financing and security package;
- KPI and the method of confirming the effect;
- Responsible operators and control points.
9. EUT Register Model
The supersystem should not proclaim a single private “register of all property”. A correct model is a network of linked registers and evidence records synchronized with official sources.

11. Prohibitions and control restrictions
- not to present UCC as a right automatically applicable to States;
- not to use UCC-1 as independent proof of the creation of property, debt or sovereign status;
- not to replace the internal record with mandatory state registration;
- not to combine different legal regimes in one condition of the treaty without a conflict clause;
- not to issue a digital asset without qualification of its legal nature, issuer, security and treatment regime;
- not to launch a cross-border payment without sanctions, currency, tax and bank verification;
- Do not automate execution if the code is contrary to the signed contract or mandatory law.

- Measurement and verification of environmental results.
- Digital Registry Regulation and Access Matrix.
- Policy KYC/KYB, sanctions and anti-corruption control.
- Plan for managing default, operator replacement and project continuity.
- A set of corporate decisions and powers of signatories.
14. Final model
Such a design allows the development of an international platform without a legally risky claim of supranational power UCC. The supersystem does not become a “single law”, but a compatible architecture of contracts, data, registers, evidence and executors.
